Introduction
These Buyer Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Buyer", "you") and Payyd ("Payyd", "we", "our", "us"), acting as the Merchant of Record (MoR) for your purchase of digital or physical products and services ("Products") from third-party suppliers ("Suppliers") through platforms that use Payyd's payment and transaction services.
By completing a purchase, you accept and agree to be bound by these Terms. If you do not agree, do not proceed with the transaction.
Role of Payyd
Payyd operates as the Merchant of Record for transactions made through partner platforms. This means:
- You are purchasing the Product directly from Payyd.
- Payyd is responsible for processing your payment and issuing any applicable receipts.
- The Product itself is provided and fulfilled by the Supplier, who retains all responsibility for its quality, delivery, support, and functionality.
- Payyd facilitates compliance, payment security, and tax handling on behalf of the Supplier but does not create, own, or support the Product unless otherwise stated.
Contract Formation
A binding purchase agreement is formed when you:
- Review and accept these Terms.
- Click "Pay Now" or similar confirmation.
- Successfully complete your payment.
This constitutes a contract between you and Payyd for the transaction. Any subsequent service, license, or delivery obligations are governed by the Supplier's terms.
Payment Terms
By completing your purchase:
- You authorize Payyd to charge the full transaction amount to your selected payment method.
- All charges will appear as "PAYYD" or a relevant reference on your billing statement.
- You confirm the legitimacy of your payment method and that you have authorization to use it.
- Payyd uses industry-leading PCI-compliant systems to process payments securely.
Refunds and Cancellations
Refund requests are subject to the Supplier's refund policy, which is communicated to you at the point of sale or through the platform hosting the transaction.
Payyd:
- Processes refunds on behalf of the Supplier, when approved.
- Does not guarantee refunds outside of what the Supplier policy permits.
- Reserves the right to deny fraudulent or abusive refund claims.
Refunds may take 5–10 business days to reflect, depending on your payment provider.
Chargebacks and Disputes
In case of a chargeback request:
- You agree to first contact business@payyd.money to resolve the issue.
- If the chargeback is filed, Payyd reserves the right to contest it with supporting transaction records.
- Unjustified chargebacks may result in account suspension on the originating platform or further investigation.
Product Responsibility and Support
While Payyd processes the transaction:
- The Supplier is responsible for delivering, maintaining, and supporting the Product.
- Any dissatisfaction, warranty claim, or malfunction should be directed to the Supplier via the platform where the Product was purchased.
Payyd is not liable for:
- Product quality,
- Product availability,
- Supplier breach of contract or local laws.
Limitation of Liability
To the fullest extent permitted by applicable law:
- Payyd disclaims all warranties, express or implied, regarding the Products.
- Payyd's maximum liability for any claim related to your transaction is limited to the transaction amount received.
In no event shall Payyd be liable for:
- Indirect, incidental, or consequential damages,
- Loss of data, revenue, or business opportunities.
Data Privacy and Security
- Payyd complies with data privacy laws, including GDPR, CCPA, and other relevant frameworks.
- Transaction and personal data is collected solely to process your payment and comply with legal obligations.
- Your data will not be sold or misused.
Compliance with Laws
You agree to comply with all applicable laws and regulations in connection with your use of the services and purchase of Products.
Payyd reserves the right to restrict or block transactions where illegal activity, sanctions risk, or compliance issues are suspected.
Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, without regard to conflict of law provisions.
Any disputes or claims arising under or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts in San Francisco County, California.
Amendments and Updates
We reserve the right to revise these Terms at any time. Updates will be published on our website with a revised "Effective Date."
Your continued use of our services following any changes constitutes your acceptance of the new Terms.
